By accessing or using the services provided by Mend Drift LLC ("we," "our," or "us"), including but not limited to the Touchpoints application and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you and Mend Drift LLC. We may update these Terms from time to time, and your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

2. Description of Services

Mend Drift LLC provides software applications and services designed to help users manage their personal and professional lives. Our Services include, but are not limited to:

• Touchpoints: A personal CRM application that helps users maintain professional relationships, manage contacts, and track interactions.
• Other productivity and life management tools as we may develop and offer from time to time.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. User Accounts and Registration

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, illegal, or harmful activities.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Data Deletion: You may delete your User Content and account at any time. Upon account deletion, we will delete your User Content in accordance with our Privacy Policy and applicable law.

We strive to provide reliable and continuous access to our Services, but we do not guarantee that the Services will be available at all times or free from errors, defects, or interruptions. We may:

• Perform scheduled or unscheduled maintenance
• Modify, update, or discontinue features or functionality
• Suspend or terminate access to the Services for violations of these Terms

We will make reasonable efforts to notify you of significant changes or interruptions to the Services when possible.

8. Third-Party Services and Links

When you authorize our Services to access third-party services (such as Google Contacts or LinkedIn), you grant us permission to access and use your data from those services as necessary to provide our Services to you.

9. Subscription and Payment Terms

Some features of our Services may require a paid subscription. If you purchase a subscription:

• Subscription fees are billed in advance on a recurring basis
• You authorize us to charge your payment method for all subscription fees
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings or by contacting us
• Refunds are subject to our refund policy, which may vary by jurisdiction and subscription type

We reserve the right to change our pricing with reasonable notice. Price changes will apply to subsequent billing periods.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEND DRIFT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mend Drift LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by deleting your account through the Services or by contacting us. Upon termination:

• Your right to use the Services will immediately cease
• We will delete your User Content in accordance with our Privacy Policy
• All provisions of these Terms that by their nature should survive termination shall survive

13. Dispute Resolution

If you have any dispute with us, you agree to first contact us at legal@menddrift.com to seek an informal resolution. If we cannot resolve the dispute informally within sixty (60) days, you agree to resolve any disputes through binding arbitration in accordance with the rules of the American Arbitration Association, except as otherwise required by applicable law.

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mend Drift LLC regarding the use of our Services and supersede all prior agreements and understandings.
